1. About these Terms
1.1 These Terms of Use (the "Terms") form a legally binding agreement between you and Ayven Ltd, a company registered in England and Wales under company number 17153840, whose registered office is at 66 Paul Street, London EC2A 4NA ("Ayven", "we", "us" or "our").
1.2 These Terms govern your access to and use of Poker Realms, including our website at poker-realms.com, our mobile applications and any related services (together, the "Services"). By creating an Account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1.3 Our Privacy Policy explains how we collect and use your personal data and forms part of these Terms.
2. Definitions
- "Account"
- the account you create to access the Services.
- "Chips"
- the virtual chips used to play in the Services.
- "Emeralds"
- the virtual currency that may be purchased with real money and used in the Services.
- "Virtual Items"
- Chips, Emeralds and any other virtual items, cosmetic items or in-game content made available in the Services.
- "User Content"
- any name, profile, character or message that you create, display or send through the Services.
3. Eligibility
3.1 You must be at least 18 years old to use the Services. By using the Services, you confirm that you meet this requirement.
3.2 The Services, and particular features of them, may not be available in every country or on every device.
4. Your Account
4.1 You must provide accurate information when you create your Account. You may create and use only one Account.
4.2 If you sign in using a third-party service such as Google or Apple, your use of that service is also subject to its own terms. We are not responsible for the availability or operation of any third-party sign-in service.
4.3 You must keep your sign-in details confidential. You are responsible for all activity that takes place under your Account, to the extent permitted by law.
4.4 You may delete your Account at any time through the Services (You, then Account, then Delete account).
5. Licence to Use the Services
5.1 Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Services for your own private, non-commercial entertainment.
5.2 The Services, including all software, artwork, characters, text, audio and other content within them, are owned by us or our licensors and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell or otherwise exploit any part of the Services.
6. No Real-Money Gambling
6.1 The Services are provided for entertainment purposes only. They do not offer real-money gambling.
6.2 Virtual Items have no monetary value. They cannot be exchanged for money or anything of monetary value, cannot be withdrawn, and cannot be won as money.
6.3 Success in the Services does not imply future success at real-money gambling.
7. Virtual Items
7.1 Virtual Items are licensed to you, not sold. You obtain a limited, personal, non-transferable and revocable licence to use Virtual Items within the Services only, and you have no ownership or other property interest in them.
7.2 You may not sell, buy, trade, transfer or give away Virtual Items or Accounts, whether within the Services or outside them, and whether for real money or anything else. Any attempt to do so is a breach of these Terms.
7.3 We may manage, regulate, modify or remove Virtual Items, including their price, availability and use, at any time, subject to applicable law.
8. Purchases
8.1 Emeralds may be purchased with real money. The price is shown before you complete a purchase and includes any applicable taxes.
8.2 Payments are processed by third-party payment providers. Purchases made through the Apple App Store or Google Play are also subject to the terms of those stores.
8.3 Emeralds are delivered to your Account once payment is confirmed.
9. Your Right to Cancel
9.1 If you purchase Emeralds on our website, you may cancel the purchase within 14 days of the date of purchase and receive a full refund. To cancel, contact us at [email protected] with the email address associated with your Account and the date of the purchase. The Emeralds from a cancelled purchase will be removed from your Account.
9.2 Refunds for purchases made through the Apple App Store or Google Play are handled by Apple or Google under their own policies. Emeralds refunded by them will be removed from your Account.
9.3 Nothing in these Terms affects your statutory rights as a consumer.
10. User Content
10.1 You grant us a non-exclusive, royalty-free, worldwide licence to host, display and transmit your User Content for the purpose of operating and providing the Services, for as long as it remains in the Services.
10.2 You are responsible for your User Content. It must not be unlawful, offensive, abusive, hateful, sexually explicit, or infringe the rights of any other person.
10.3 We may remove or change any User Content, including your display name, that we reasonably believe breaches these Terms.
11. Conduct
11.1 You agree to use the Services lawfully and fairly. You must not:
- cheat, collude with other players, or use any bot, script or other automated tool;
- create or use more than one Account, or transfer Chips between Accounts through play or otherwise;
- exploit any bug, error or vulnerability in the Services;
- harass, abuse, threaten or discriminate against other players;
- post spam, or share your own or anyone else's personal information;
- impersonate any person, including us or our staff;
- interfere with, disrupt or overload the Services, or attempt to gain unauthorised access to them;
- reverse engineer, decompile or modify the Services, except where the law expressly allows it; or
- engage in any real-money trading of Virtual Items or Accounts.
11.2 To report a player who you believe has breached these Terms, contact us at [email protected].
12. Suspension and Termination
12.1 You may stop using the Services at any time and may delete your Account as described in clause 4.4.
12.2 We may suspend or terminate your access to all or part of the Services if you breach these Terms, if we reasonably suspect fraud, cheating or other misuse, or where we are required to do so by law.
12.3 If we terminate your Account because you have breached these Terms, any Virtual Items in your Account will be forfeited without refund, to the extent permitted by law.

13. Changes to the Services
13.1 We may change, update, suspend or discontinue any part of the Services at any time. Where we intend to discontinue the Services entirely, we will give reasonable advance notice in the Services where we are able to.
14. Liability
14.1 We will provide the Services with reasonable care and skill. Except as set out in these Terms, the Services are provided "as is" and "as available", and we do not guarantee that they will be uninterrupted or error-free.
14.2 To the extent permitted by law, we are not liable for any loss that was not reasonably foreseeable, for any business loss, or for any loss of Virtual Items or progress that is not caused by our breach of these Terms.
14.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
15. Changes to these Terms
15.1 We may update these Terms from time to time. If we make material changes, we will notify you in the Services before they take effect. If you continue to use the Services after the changes take effect, you will be bound by the updated Terms. If you do not agree to them, you must stop using the Services.
16. General
16.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
16.2 If we do not enforce any of our rights under these Terms, that does not mean we have waived them.
16.3 We may transfer our rights and obligations under these Terms to another organisation. You may not transfer your rights or obligations under these Terms to anyone else.
16.4 No person other than you and us has any right to enforce these Terms.
17. Governing Law and Jurisdiction
17.1 These Terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over any dispute arising from them.
17.2 If you live outside England and Wales, you will also benefit from any mandatory consumer protection provisions of the law of the country in which you live, and you may bring proceedings in the courts of that country.
